COMMUNITY MEMBER END USER LICENSE AGREEMENT

Effective Upon Community Member Enrollment Link Activation - For Signature Partner Members

PLEASE READ THIS COMMUNITY MEMBER END USER LICENSE AGREEMENT (“Agreement”) CAREFULLY. BY ENROLLING THROUGH A HOMEAXIS COMMUNITY ENROLLMENT LINK, USING AND DOWNLOADING HOMEAXIS, OR ACCESSING ANY COMMUNITY FEATURES WITHIN THE HOMEAXIS PLATFORM, YOU AGREE TO BE BOUND BY THIS AGREEMENT AND THE HOMEAXIS PLATFORM TERMS AND CONDITIONS.

1.  PARTIES AND PURPOSE

This Agreement is between you (“Member” or “End User”) and Diamond Hill Ventures LLC DBA HomeAxis (“HomeAxis”). It governs your access to a co-branded Community within the HomeAxis platform, which has been configured by a third-party Community operator (“Community Partner” or “Signature Partner”). HomeAxis owns and operates the platform. The Community Partner administers community-specific content within the platform. The Community Partner is not a party to this Agreement.

This Agreement supplements and is subject to the HomeAxis Platform Terms & Conditions. In the event of any conflict between this Agreement and the HomeAxis Platform Terms & Conditions, the HomeAxis Platform Terms & Conditions shall govern.

2.  YOUR RELATIONSHIP IS WITH HOMEAXIS

Regardless of how you were introduced to HomeAxis or which Community you join, your End User relationship — including your account, your subscription, your transaction data, and your billing — is with HomeAxis, not with the Community Partner. The Community Partner has no authority to modify your rights or obligations under this Agreement or the HomeAxis Terms & Conditions. Your subscription is billed directly by HomeAxis via Stripe. The Community Partner does not collect your subscription payments.

3.  YOUR SUBSCRIPTION AND PLATFORM ACCESS

Your access to HomeAxis platform features is governed by your own individual subscription payment directly to HomeAxis. You will be billed by HomeAxis at the retail price set by your Community Partner, which will be disclosed to you at the time of enrollment. Your subscription entitles you to access the core HomeAxis transaction management platform and the Community features associated with your enrolled Community.

If the Community Partner’s Signature Partner agreement with HomeAxis is terminated or suspended, your access to Community-specific content and branding (Community Documents, Education, Chat, Announcements, and Community Playbooks among others) may be removed. We will make every effort to ensure your core HomeAxis platform access, individual account, and transaction data remain intact as long as your own subscription payments to HomeAxis are current. HomeAxis will make reasonable efforts to notify you of any material change to your Community access.

4.  HOMEAXIS BRANDING

All Community deployments display the HomeAxis brand mark and Attribution Mark or (“Powered by HomeAxis”). By using the Community, you acknowledge that HomeAxis is the platform provider. The Community Partner co-brands the Community under their organizational identity but does not own, develop, or operate the underlying platform.

5.  COMMUNITY CONTENT — NO HOMEAXIS LIABILITY

All Community Documents, announcements, educational materials, chat posts, playbook task content, workflow task instructions, deadline logic, compliance guidance, and any other content made available through your Community (“Community Content”) is created, selected, uploaded, and administered solely by the Community Partner — not by HomeAxis.

HomeAxis does not review, screen, approve, verify, endorse, or warrant Community Content for accuracy, completeness, legality, compliance with applicable real estate licensing law, fair housing law, professional ethics requirements, brokerage policy, or fitness for any particular purpose. HomeAxis is not responsible for any advice, guidance, workflow recommendations, task instructions, deadline calculations, legal positions, market claims, or other information contained in Community Content. HomeAxis expressly disclaims any and all liability resulting from reliance upon any type of Community Content. HomeAxis shall not be held liable for any issues arising from Community Content.

Any disputes, claims, or concerns regarding Community Content must be directed to the Community Partner directly. HomeAxis is not a party to any dispute between you and your Community Partner regarding Community Content.

6.  YOUR DATA

Your transaction data, client records, account credentials, and personal information are governed by the HomeAxis Privacy Policy and Terms & Conditions. The Community Partner does not have access to your individual transaction records, client data, or account credentials. Community Partner administrative access is limited to Community-level content management and member roster management only.

7.  PLATFORM INTELLECTUAL PROPERTY

The HomeAxis platform — including all software, AI systems, playbook engine, workflow logic, UI/UX design, and related technology — is the exclusive intellectual property of Diamond Hill Ventures LLC. Your Community membership grants you no ownership interest in the platform. The Community Partner similarly holds no ownership interest in the platform.

8.  AI FEATURES

HomeAxis may offer AI-powered features as an optional add-on subscription at an additional fee billed directly by HomeAxis to the subscribing agent. AI add-on revenue is billed and retained exclusively by HomeAxis and does not involve the Community Partner in any respect.

AI-generated outputs produced by the HomeAxis platform including but not limited to contract parsing results, extracted transaction field values, deadline calculations, message drafts, communication suggestions, predictive milestone guidance, workflow recommendations, risk assessments, document summaries, and any other content, advice, analysis, or information generated in whole or in part by an artificial intelligence system are provided for informational and productivity assistance purposes only. AI outputs do not constitute legal advice, real estate brokerage services, financial advice, tax advice, compliance guidance, or professional advice of any kind.

AI systems may produce outputs that are incomplete, inaccurate, outdated, misleading, or inapplicable to a specific transaction, jurisdiction, or circumstance. You are solely responsible for independently verifying all AI-generated outputs before acting upon, transmitting, or relying on them in any respect. No AI-generated output should be used as a substitute for your own professional judgment, the advice of a licensed attorney, or the guidance of your supervising broker.

HomeAxis expressly disclaims any and all liability for: (a) errors, omissions, inaccuracies, or hallucinations in AI-generated outputs; (b) any transaction outcome, financial loss, regulatory violation, license action, client claim, or legal proceeding arising from your reliance on AI-generated outputs; (c) any failure of AI-generated contract parsing to identify missing terms, incorrect dates, deficient signatures, or other document deficiencies; (d) any AI-generated communication that is sent to a client, co-broker, or third party and that is inaccurate, inappropriate, or non-compliant with applicable law; and (e) any decision made by you or on your behalf based in whole or in part on any AI-generated output, regardless of whether such output appeared accurate or complete at the time of generation.

By enabling or using any AI-powered feature within the HomeAxis platform, you acknowledge that you have read and understood this disclaimer, that you accept sole responsibility for all decisions made in reliance on AI-generated outputs, and that HomeAxis’ aggregate liability to you arising from AI-generated outputs shall not exceed the total AI add-on fees you paid directly to HomeAxis in the three months preceding the claim, regardless of the theory of liability and even if HomeAxis was advised of the possibility of such damages.

9.  ACCEPTABLE USE

You agree to use Community features in a professional and lawful manner. You may not:

• Post content that is unlawful, defamatory, harassing, discriminatory, or in violation of applicable fair housing law

• Share confidential client information or personally identifiable information of third parties in Community Chat or Announcements

• Attempt to access, copy, reverse engineer, or extract the platform’s code, AI systems, or proprietary technology

• Use Community features in any manner that violates applicable real estate licensing law, brokerage policy, or professional ethics requirements

9A. COMPLIANCE WITH APPLICABLE LAW — AGENT AND BROKER RESPONSIBILITY

The HomeAxis platform is a transaction management and productivity tool. It is not legal advice, real estate brokerage services, or a compliance system. All responsibility for compliance with applicable federal, state, and local real estate licensing laws, brokerage regulations, MLS rules, fair housing laws, agency disclosure requirements, NAR Code of Ethics obligations, and any other professional or regulatory requirements rests solely with the licensed agent, broker, or brokerage using the platform.

HomeAxis makes no representation that use of the platform, its workflow templates, task instructions, playbook content, AI-generated outputs, SMS templates, or any other platform feature satisfies any specific legal, regulatory, or brokerage compliance requirement in any jurisdiction. HomeAxis is not liable for any regulatory or legal violation, license action, MLS sanction, client claim, or legal proceeding arising from an agent's or broker's use of or reliance on the platform or any content delivered through it. Each user is solely responsible for ensuring their use of HomeAxis complies with all laws and regulations applicable to their license, brokerage, and market.

HomeAxis expressly disclaims any and all liability resulting from any agent's, broker's, or Community Partner's reliance upon, use of, publication of, or distribution of Community Content of any kind, including but not limited to task instructions, deadline logic, workflow guidance, compliance recommendations, educational materials, and chat communications. HomeAxis shall not be held liable for any regulatory violation, license action, MLS sanction, brokerage policy breach, client claim, legal proceeding, financial loss, or any other issue of any kind arising from Community Content, regardless of whether such content was created, approved, or distributed by a Community Partner, agent, broker, or any other user of the platform. Compliance with all applicable federal, state, and local real estate licensing laws, brokerage regulations, fair housing laws, MLS rules, and professional ethics requirements is the sole responsibility of the agent, broker, or Community Partner publishing or relying on such content. HomeAxis makes no representation that any Community Content satisfies any legal, regulatory, or compliance requirement in any jurisdiction.

10.  BILLING AND PAYMENT

Your subscription is billed monthly by HomeAxis directly to your payment method on file. The retail price you pay is set by your Community Partner and disclosed at enrollment. HomeAxis handles all billing, receipts, and refund requests directly. For billing questions, contact support@homeaxispro.com. The Community Partner does not process or control your subscription billing.

11.  LEAVING A COMMUNITY

You may cancel your HomeAxis subscription at any time through your account settings or by contacting support@homeaxispro.com. Upon cancellation, your access to Community features and core platform features will be removed at the end of your paid billing period. Your transaction data will be retained per the HomeAxis data retention policy. Refunds are not provided for partial billing periods except where required by applicable law.

All subscription fees paid to HomeAxis are non-refundable. No refunds will be issued for any reason, including but not limited to cancellation, non-use, dissatisfaction, Community Partner termination, or removal of Community features. Cancellations take effect at the end of the current billing cycle. You will retain access to your HomeAxis subscription through the end of the paid period, after which your account will be deactivated and no further charges will occur.

12.  DISCLAIMER AND LIMITATION OF LIABILITY

The HomeAxis platform and all Community features are provided “AS IS” and “AS AVAILABLE.” HomeAxis makes no warranties, express or implied, regarding uptime, accuracy of AI features, or the suitability of the platform for any particular real estate transaction or market. HomeAxis’s aggregate liability to you arising from your use of the platform or Community shall not exceed the total subscription fees you paid directly to HomeAxis in the three months preceding the claim. HomeAxis shall have no liability for Community Content, actions of the Community Partner, or any real estate transaction outcome.

13.  GOVERNING LAW AND ARBITRATION

This Agreement is governed by the laws of the State of Rhode Island. Any dispute arising from this Agreement shall be resolved through binding arbitration under AAA Commercial Arbitration Rules, seated in Rhode Island. You waive the right to participate in any class or collective action. This Agreement does not limit your rights under applicable consumer protection law.

14.  ACCEPTANCE

By enrolling through a HomeAxis Community enrollment link or activating Community membership, you confirm that you have read, understood, and agree to this Community Member End User License Agreement and the HomeAxis Platform Terms & Conditions, both of which are available at homeaxispro.com.
