By downloading, accessing, or using the HomeAxis app and its associated website (collectively, “App” or “Site”), you agree to comply with and be bound by these Terms and Conditions (“Terms”). If you do not agree with these Terms, please discontinue use immediately.

1. Introduction and Acceptance of Terms

• By using HomeAxis, you agree to these Terms, as well as any additional terms, policies, and guidelines referenced herein.

• Modification of Terms: HomeAxis reserves the right to change these Terms at any time, without prior notice. Your continued use of the App following any updates constitutes acceptance of the modified Terms.

2. Definitions

• “App” or “Site”: Refers to HomeAxis, including any related websites, services, content, and tools.

• “User”: Refers to anyone who accesses, downloads, or uses the App or Site, including real estate agents, brokers, and other professionals.

• “Content”: Refers to all materials, information, documents, and graphics on the App or Site.

3. Use of the App and Site

• License: HomeAxis grants you a limited, non-exclusive, non-transferable, revocable license to use the App for personal or business purposes, subject to these Terms.

• Customization and Compliance Responsibility: It is solely the responsibility of users to customize the App’s templates, workflows, and features to meet their specific business practices and comply with all local, state, and federal regulations, as well as any professional standards required by their licensing bodies.

• Waiver of Liability for Compliance and Customization: HomeAxis Pro makes no representation or warranty that the templates, workflows, or features within the App are comprehensive or suitable for all legal or regulatory requirements. HomeAxis Pro expressly disclaims any responsibility or liability for users' failure to comply with applicable laws, regulations, or professional standards. Users acknowledge and agree that they are solely responsible for ensuring their use of the App meets all relevant compliance requirements and for personalizing the App’s features to fit their professional needs.

• Prohibited Activities: Users may not engage in unauthorized, illegal, or harmful activities, including hacking, reverse-engineering, or misusing the App or Site.

• Prohibited use & competitive restrictions. Unauthorized, illegal, or harmful activities – including hacking, reverse engineering, or misusing the App – are strictly prohibited.
  You agree not to reproduce, duplicate, copy, sell, resell, or exploit any portion of the HomeAxis platform, its user interface, workflows, features, structure, or underlying code for the purpose of developing a competing service or product.
  You further agree not to access or use the HomeAxis platform in order to monitor or benchmark its performance, availability, or functionality, or for any other competitive purposes. Any attempt to reverse engineer, duplicate, or derive source code or proprietary workflows is strictly prohibited and may result in legal action.

4. Account Registration and Security

• Users must provide accurate and complete information during account registration and are responsible for maintaining the confidentiality of their login credentials.

• Account Termination: HomeAxis Pro reserves the right to terminate or suspend any account for violations of these Terms or applicable laws.

5. Services Provided

• HomeAxis offers transaction management tools, customizable workflows, and automated task templates. Users are solely responsible for verifying that their use of the App aligns with local, state, and federal regulations.

• Professional Responsibility Disclaimer: HomeAxis Pro does not provide legal, financial, or real estate advice. Users are responsible for customizing the App and ensuring it meets any professional or regulatory standards.

6. Payment, Subscriptions, and Cancellation

• Fees: Users are responsible for all subscription fees associated with the App. Fees are non-refundable once a month or year has been charged.

• Payment Processor: Payments are processed through third-party providers, and HomeAxis Pro is not responsible for issues arising from these processors.

• Renewals and Cancellations: Subscriptions renew automatically unless canceled. Users may cancel subscriptions through their account settings, which will take effect at the end of the current billing cycle.

7. Termination

• HomeAxis reserves the right to terminate or suspend user access to the App, without prior notice, for any reason, including breach of these Terms.

• Effect of Termination: Upon termination, all rights granted to the user under these Terms will immediately cease.

8. Intellectual Property Rights

• Ownership: HomeAxis, Diamond Hill Ventures LLC retains all rights, title, and interest in and to the App, including all intellectual property rights.

• License to User Content: By posting content on the App, users grant HomeAxis Pro a non-exclusive, worldwide license to use, modify, and distribute such content solely to provide and improve the App.

• Trademarks: HomeAxis and its associated logos are trademarks of Diamond Hill Ventures LLC and may not be used without prior written permission.

9. Disclaimer of Warranties

• The App is provided on an “as is” and “as available” basis. HomeAxis makes no warranties, express or implied, about the reliability, suitability, or availability of the App.

• No Guarantee of Results: HomeAxis does not guarantee any specific results from using the App, as effectiveness depends on users’ individual business practices and compliance with laws.

10. Limitation of Liability

• To the fullest extent permitted by law, HomeAxis shall not be liable for any indirect, incidental, or consequential damages resulting from the use or inability to use the App.

• Aggregate Liability: HomeAxis total liability for any claim related to the App will not exceed the total amount paid by the user for the App in the 12 months prior to the claim.

11. Indemnification

• Users agree to indemnify, defend, and hold harmless HomeAxis , its affiliates, employees, and agents from any claims, liabilities, damages, losses, or expenses arising from their use of the App, violation of these Terms, or any third-party claims related to professional liability, malpractice, or regulatory non-compliance.

12. Governing Law and Dispute Resolution

• Governing Law: These Terms are governed by the laws of the State of Rhode Island, USA, without regard to its conflict of laws principles.

• Dispute Resolution and Arbitration: Users agree to resolve disputes through binding arbitration in Rhode Island, USA. Users waive any right to pursue claims as part of a class action.

13. Changes to Terms and Services

• Modification of Terms: HomeAxis reserves the right to update these Terms without prior notice. Users’ continued use of the App following any changes constitutes acceptance of the modified Terms.

• Modification of Services: HomeAxis may modify, discontinue, or limit access to any part of the App at its discretion, without liability.
